Article 1 – Purpose
These Terms and Conditions of Sale (TCS) govern the services provided by Woshino, represented by Arthur Couillard, sole proprietor, in the fields of video editing and motion design. Any order placed implies full and unconditional acceptance of these TCS by the client.
Article 2 – Services
Woshino mainly offers:
- Video editing (advertising, corporate, social media, aftermovies, interviews, etc.)
- Creation of motion design sequences (graphic animations, titles, video branding, etc.)
Article 3 – Quotes and Orders
Each service is subject to a quote specifying the nature of the services, deadlines, and price. Validation of the quote, dated and signed with the note “Approved,” constitutes a firm order. Any modification requested after validation may result in additional charges.
Article 4 – Prices and Payment
Prices are expressed in euros. VAT not applicable – Article 293 B of the French Tax Code. A 30% deposit may be requested upon ordering. The remaining balance is payable upon delivery of the final deliverables, via bank transfer. Any late payment will incur penalties calculated based on the current legal interest rate.
Article 5 – Deadlines and Delivery
Delivery times are indicative and may vary depending on project complexity or client validation delays. Deliverables (edited videos, animations) are provided in the digital format agreed upon in the quote.
Article 6 – Client Obligations
The client agrees to provide all necessary materials for the project (videos, images, logos, texts, royalty-free or properly licensed music). The client guarantees that the use of these materials is copyright-free or duly authorized.
Article 7 – Intellectual Property
Source files (editing projects, graphic assets, etc.) remain the property of Woshino and will not be provided to the client unless agreed otherwise in writing. The delivered videos are licensed for the uses defined in the quote (e.g., web, internal, or event distribution). Woshino reserves the right to use excerpts of completed works for promotional purposes (portfolio, website, social media), unless the client explicitly refuses in writing.
Article 8 – Cancellation
In the event of cancellation of a confirmed project:
- The deposit paid remains due to Woshino.
- If the project is already in progress, the hours worked will be invoiced proportionally.
Article 9 – Liability
Woshino undertakes to provide a service in accordance with the quote and professional standards. The company cannot be held liable for any misuse of the videos by the client or for any distribution beyond the agreed rights.
Article 10 – Governing Law
These TCS are governed by French law. In the event of a dispute, and after an attempt at amicable settlement, exclusive jurisdiction is granted to the courts within the jurisdiction of Laval (53), France.
